Pinvia Terms of Service

1. Acceptance of Terms
This Terms of Service agreement (“Terms”) constitutes a legally binding contract between you (“you,” “your,” or “User”) and Pinvia LLC (“Company,” “we,” “our,” or “us”) governing your access to and use of all features, content, tools, products, and services offered through the Pinvia mobile application, website, software, or any affiliated platform, API, or integration (collectively, the “Platform”).
By downloading, registering for, accessing, or using any part of the Platform—whether as a guest, registered user, business account, or administrator—you acknowledge that you have read, understood, and agree to be legally bound by:
These Terms of Service;
Our Privacy Policy;
Our Community Guidelines, Sponsorship Terms, and any additional terms presented to you in-app, via email, or through Platform updates;
Any amendments or modifications published by the Company from time to time.
Your continued use of the Platform after such updates constitutes your acceptance of the modified Terms. If at any time you do not agree with these Terms or any associated policy, you must immediately discontinue use of the Platform and uninstall the app from all devices.
These Terms apply to all users, including but not limited to individuals, businesses, developers, affiliates, and partners. If you are using the Platform on behalf of a company, organization, or entity, you represent and warrant that you are authorized to bind such entity to these Terms.
Use of the Platform is also subject to all applicable laws, rules, and regulations. The Company reserves the right to deny or restrict access to any user who violates these Terms or who may pose a risk to the safety, performance, or legal standing of the Platform or its community.
2. Definitions
For the purposes of this Agreement, the following terms shall have the meanings set forth below. These definitions apply across all sections of the Terms of Service and any related policies or agreements:
“Company,” “we,” “our,” or “us” refers to Pinvia LLC, a limited liability company organized under the laws of the State of California, including all of its current and future affiliates, subsidiaries, officers, directors, employees, contractors, agents, and authorized representatives.
“User,” “you,” or “your” means any individual or legal entity who accesses, browses, registers for, downloads, installs, or otherwise uses the Platform in any capacity, whether as a guest, consumer, business, or representative of an organization.
“Platform” means all digital products, services, and infrastructure owned or operated by the Company, including but not limited to the Pinvia mobile application, website (pinvia.co), backend services, APIs, data systems, communication tools, embedded features, and any software or user interface provided directly or indirectly by the Company.
“Business Account” refers to a verified account operated by or on behalf of a merchant, venue, event host, or organization with the capability to publish events, engage in sponsorship campaigns, or otherwise use promotional or data-driven tools on the Platform.
“Developer Account” means any account granted internal or sandbox-level access for the purposes of quality assurance, bug testing, or app development review. Developer access is non-public and may be revoked at the discretion of the Company.
“Content” includes all materials submitted, uploaded, posted, displayed, transmitted, or otherwise made available via the Platform by any party. This includes, but is not limited to, images, videos, text, event listings, business information, graphics, trademarks, metadata, reviews, social interactions, AI-generated outputs, and any derivative works.
“Use” or “Usage” means any interaction with the Platform, including viewing, browsing, registering, creating an account, submitting data, downloading materials, sharing content, or otherwise accessing any feature or service provided by the Company.
“Services” refers to the full suite of tools, features, benefits, and capabilities offered by the Platform, including but not limited to: discovering local events, saving events or businesses, creating content, hosting or promoting activities, accessing live views or public feeds, sponsoring locations, and using community engagement functions.
“Agreement” refers collectively to these Terms of Service, the Privacy Policy, and any applicable addenda, attachments, or policy updates issued by the Company.
“Third Party” means any individual, company, service provider, advertiser, vendor, or software platform not directly owned or operated by Pinvia LLC.
3. Modifications to Terms
We reserve the right, in our sole discretion, to modify, amend, update, or revise these Terms of Service at any time and for any reason, with or without prior notice to you.
We will make reasonable efforts to notify Users of material changes to these Terms, including but not limited to changes affecting dispute resolution, user rights, or data usage practices. Notification methods may include:
In-app alerts or banners,
Email sent to the address associated with your account,
Updates posted to the Platform or our website (pinvia.co),
A prompt requiring re-acceptance of the Terms upon next login or continued usage.
Immaterial or administrative changes (such as formatting updates, typo corrections, or clarification of language that does not affect your legal rights) may be made without notice.
Your continued access to or use of the Platform after any such update becomes effective constitutes your binding acceptance of the revised Terms. If you do not agree to the updated Terms, your sole remedy is to cease use of the Platform and close your account.
It is your responsibility to review these Terms periodically to stay informed of any changes.
4. Eligibility
Access to and use of the Platform is strictly limited to individuals who are eighteen (18) years of age or older. By creating an account or otherwise using the Platform, you represent and warrant that you:
Are at least 18 years of age,
Have the legal capacity to enter into a binding agreement, and
Are not otherwise barred from using the Platform under applicable law.
Pinvia LLC does not permit users under the age of 18 to create an account, upload content, RSVP to events, or access features that require account registration. Any attempt to misrepresent age during sign-up, bypass age verification, or access age-restricted features as a minor constitutes a material breach of these Terms and may result in immediate termination of access, removal of content, and notification to guardians or legal authorities as required by law.
We reserve the right to implement age verification procedures, including but not limited to:
Age declaration during account creation,
Date of birth input cross-checked against policy limits,
Manual or automated age-gating tools, and
Requests for government-issued ID in specific cases.
Pinvia LLC disclaims all liability for unauthorized use of the Platform by minors. Parents or legal guardians who become aware that their child has created an account in violation of these Terms should contact us immediately at info.pinvia@gmail.com for prompt deletion of the account and associated data.
5. License to Use the Platform
Subject to your compliance with these Terms, Pinvia LLC grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to download, install, and access the Pinvia mobile application and website (collectively, the “Platform”) for your personal, non-commercial use strictly in accordance with these Terms.
This license does not include any rights to:
Copy, modify, distribute, sell, rent, lease, sublicense, or otherwise exploit the Platform or any portion thereof;
Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Platform or any related technology;
Bypass, disable, or interfere with any security-related features of the Platform;
Access the Platform through automated means, including bots, scrapers, or data mining tools;
Use the Platform in any manner that could damage, disable, overburden, or impair its functionality or interfere with any other party’s use.
All rights not expressly granted to you in these Terms are reserved by Pinvia LLC. Nothing in these Terms shall be construed as granting any license or right to use any Pinvia trademark, logo, trade dress, or proprietary design without prior written consent.
Violation of any of the above conditions shall result in immediate termination of your license to use the Platform and may expose you to civil or criminal liability.
6. Account Registration and Security
To access certain features of the Platform, you must register and create an account. You agree to:
Provide accurate, current, and complete information during registration;
Maintain and promptly update your information to ensure it remains accurate and complete;
Not impersonate any person or entity, or misrepresent your identity, age, affiliation, or qualifications.
You are solely responsible for:
Maintaining the confidentiality and security of your login credentials;
Restricting access to your device or account;
All activities that occur under your account, whether authorized by you or not.
You must immediately notify us at info.pinvia@gmail.com if:
You suspect unauthorized use of your account;
Your password has been compromised;
You notice any unusual activity on your account.
The Company reserves the right to:
Refuse registration or terminate any account that violates these Terms;
Require re-verification or documentation to maintain account access;
Limit or suspend access if we detect suspicious behavior or risk of unauthorized use.
You are fully liable for any losses, damages, or legal exposure resulting from failure to maintain proper security of your account.
7. User Conduct
As a condition of your access to and use of the Platform, you agree to act responsibly, lawfully, and in accordance with the following standards. You shall not, under any circumstances:
Prohibited Content & Behavior
Post, upload, transmit, or share any content that is unlawful, harassing, defamatory, libelous, abusive, threatening, harmful, vulgar, obscene, sexually explicit, invasive of another’s privacy, hateful, discriminatory, or otherwise objectionable;
Post false, misleading, or deceptive information, including fake events, impersonated identities, or altered media (including deepfakes or synthetic content);
Impersonate any person or entity, misrepresent your affiliation with a person or entity, or use another user’s credentials without authorization;
Technical Misuse
Engage in any data mining, scraping, crawling, or harvesting of content or user information without our express written consent;
Circumvent, disable, or otherwise interfere with security-related features of the Platform or any system, network, or technology connected to it;
Use any robot, bot, spider, scraper, offline reader, or other automated system to access the Platform for any purpose without prior written approval;
Abuse, Harassment & Exploitation
Harass, stalk, exploit, threaten, or harm any other users, team members, sponsors, or businesses using the Platform;
Attempt to probe, scan, or test the vulnerability of any Pinvia system or network or breach any security or authentication measures;
Create or submit unwanted or repetitive content, spam, unsolicited messages, or mass invitations without clear, verified consent;
Platform Manipulation & Misrepresentation
Manipulate or interfere with any part of the Platform, such as engagement metrics, user reviews, community voting systems, or event visibility rankings;
Use the Platform for any commercial purpose not expressly permitted by Pinvia, including reselling data, leads, or internal tools;
Facilitate or promote any conduct that violates these Terms or our Privacy Policy.
Enforcement
We reserve the right, at our sole discretion and without notice, to:
Remove any content that violates these Terms;
Suspend, terminate, or restrict access to any user or account found in breach of this section;
Report illegal activities to appropriate authorities.
Your use of the Platform must not violate any applicable local, state, national, or international law or regulation. Violations of this section may also result in legal action, including but not limited to damages, injunctive relief, or criminal prosecution.
By using the Platform, you assume full responsibility for any interaction, event attendance, or communication that occurs as a result of engagement with User Content, event listings, or third-party interactions. Pinvia disclaims all liability for harm arising from off-platform conduct initiated via Platform tools.
We do not endorse, support, or guarantee the completeness, truthfulness, accuracy, or reliability of any User Content posted via the Service. Under no circumstances will Pinvia be liable for any loss or damage resulting from anyone’s reliance on information or other content posted on the Service.
We reserve the right to remove or disable access to any User Content at our sole discretion, at any time, for any reason, without notice. This may include content we deem inappropriate, offensive, or in violation of these Terms.
8. User Content
8.1 Ownership and License Grant
You retain full ownership of any content you create, upload, submit, or display on or through the Platform (“User Content”). However, by posting or submitting User Content to the Platform, you grant Pinvia LLC a worldwide, royalty-free, perpetual, irrevocable, sublicensable, and transferable license to use, reproduce, distribute, publicly display, modify, adapt, publish, translate, and create derivative works from such content in any media format and through any media channel for the purposes of:
Operating and maintaining the Platform;
Promoting, marketing, or advertising Pinvia or its affiliates;
Creating case studies, press assets, or partnership presentations;
Supporting community engagement and showcasing sponsored content activity.
This license continues even if your account is suspended or terminated.
8.2 No Compensation
You agree that Pinvia is under no obligation to provide compensation for the use of your User Content, unless otherwise agreed in writing via a separate licensing agreement.
8.3 Waiver of Moral Rights
To the extent permitted by law, you irrevocably waive any and all moral rights (including rights of attribution or integrity) in your User Content.
8.4 Content Moderation and Removal Rights
We reserve the right — but not the obligation — to review, moderate, remove, flag, restrict, or modify User Content at any time and for any reason, including but not limited to:
Violation of these Terms;
Non-compliance with community guidelines or applicable law;
Infringement of intellectual property or privacy rights;
Offensive, abusive, misleading, or inappropriate material.
Our decision to remove or restrict User Content is final and not subject to appeal. We are not liable for any loss or damage resulting from the removal or loss of access to your content.
8.5 Responsibility and Representation
You represent and warrant that:
You own or have secured all necessary rights, licenses, consents, and permissions to post the User Content;
Your content does not infringe, misappropriate, or violate any third-party rights or applicable laws;
You understand and accept full responsibility for your User Content, including any consequences arising from its publication.
8.6 Third-Party Claims
If any User Content results in a third-party claim against the Company, you agree to indemnify and hold harmless Pinvia LLC, its officers, directors, affiliates, employees, and partners from and against any resulting losses, damages, or legal costs, as further described in Section 18 (Indemnification).
9. Intellectual Property
9.1 Ownership of Platform IP
All rights, title, and interest in and to the Platform — including but not limited to the underlying software, source code, object code, databases, architecture, visual interfaces, design elements, artwork, graphics, audio, video, features, trademarks, service marks, trade dress, logos, slogans, proprietary content, domain names, business logic, algorithms, and documentation — are and shall remain the exclusive property of Pinvia LLC or its licensors. All such materials are protected by copyright, trademark, trade secret, and other intellectual property laws of the United States and international jurisdictions.
9.2 Limited License
Subject to your continued compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Platform solely for personal, non-commercial purposes, or, in the case of verified Business Accounts, for internal business use as expressly authorized by the Company.
9.3 Restrictions
You may not, and you agree not to allow or assist others to:
Copy, modify, create derivative works from, distribute, publicly perform or display, license, sell, or otherwise exploit the Platform or any portion thereof;
Reverse engineer, decompile, disassemble, or attempt to extract source code from the Platform;
Circumvent, disable, or interfere with any security features or access controls;
Use the Platform for any commercial purpose not expressly permitted by the Company;
Use any automated system (e.g., bots, scrapers, crawlers) to access the Platform without our prior written consent.
9.4 Trademarks
“Pinvia,” the pigeon mascot, and all related names, logos, product and service names, designs, and slogans are trademarks of Pinvia LLC or its affiliates or licensors. You may not use these marks without the prior written permission of the Company, except as otherwise permitted by applicable law.
9.5 No Implied Rights
Except for the limited rights expressly granted herein, no license or right is granted to you by implication, estoppel, or otherwise under any intellectual property right of the Company or any third party.
9.6 Feedback and Suggestions
If you provide suggestions, ideas, proposals, or other feedback to Pinvia regarding the Platform or any of its features, you acknowledge and agree that such feedback is non-confidential and becomes the sole property of the Company. Pinvia shall be free to use, implement, commercialize, and disclose such feedback without restriction or obligation to you.
10. Business Accounts & Event Submissions
10.1 Business Account Eligibility and Conduct
Verified business accounts (“Business Accounts”) are granted the ability to submit events, promotions, campaigns, and other business-related content (“Business Content”) to the Platform, subject to these Terms. Verification may be revoked at any time if the Company reasonably believes that a business account is misrepresenting its identity, violating Platform policies, or engaging in abusive conduct.
10.2 Content Submission Standards
By submitting Business Content, you (the business) affirm, represent, and warrant that:
The submitted content is truthful, current, non-deceptive, and compliant with all applicable local, state, federal, and international laws and regulations;
The content does not infringe, misappropriate, or otherwise violate any third party’s intellectual property rights, publicity rights, or other legal entitlements;
You hold all necessary rights, licenses, and permissions to authorize the publication and distribution of the content on the Platform and its affiliated channels.
10.3 License to Use Submitted Content
You hereby grant Pinvia LLC a non-exclusive, worldwide, royalty-free, fully sublicensable, irrevocable license to use, reproduce, host, store, modify, publicly display, distribute, and promote your Business Content in any form, media, or technology, whether now known or hereafter developed, for the purposes of operating the Platform, supporting local discovery, and marketing event-related features. This includes the right to:
Promote your events or content in newsletters, social media, and partner campaigns;
Create derivative works or curated experiences that may feature your content;
Retain archived copies for legal compliance or historical analysis.
10.4 Prohibited Submissions
You agree not to submit any Business Content that:
Contains false or misleading information, unsubstantiated claims, or bait-and-switch tactics;
Includes offensive, discriminatory, defamatory, or unlawful statements;
Promotes illegal activities or unauthorized services;
Misrepresents pricing, location, timing, or any material detail of the event.
10.5 Company Rights and Editorial Discretion
The Company reserves the right, but not the obligation, to review, reject, modify, or remove any Business Content at any time and for any reason, including but not limited to quality concerns, community standards violations, or potential legal exposure. The Company is not liable for any loss or damage resulting from the modification or removal of such content.
10.6 Indemnification
You agree to indemnify, defend, and hold harmless Pinvia LLC, its affiliates, officers, employees, and partners from and against any and all claims, damages, liabilities, losses, costs, and expenses (including attorneys’ fees) arising out of or related to:
Your submission of Business Content;
Any breach of the representations, warranties, or obligations under this Section;
Any legal action or dispute arising from your promotions, events, or communications.
Access to sponsored placements or promotional features does not constitute a guarantee of performance, audience engagement, or visibility. Results may vary based on real-time platform activity, editorial curation, and algorithmic factors. Pinvia reserves full editorial control over how content is displayed or prioritized.
11. Paid Features & Revenue Sharing
11.1 Paid Features and Premium Offerings
Certain advanced functionalities within the Platform—including, but not limited to, sponsored listings, promoted event placements, priority business visibility, boosted content, and premium analytics tools—are made available exclusively through paid subscriptions, one-time purchases, or other payment-based models (“Paid Features”).
Access to Paid Features is contingent upon successful payment via authorized payment processors. The Company reserves the right to modify the pricing, availability, and nature of any Paid Feature at its sole discretion, with or without prior notice.
11.2 No Refunds; Billing Finality
Unless explicitly stated otherwise in a separate written policy or agreement, all payments made for Paid Features are final and non-refundable, including:
Cases of accidental purchases;
User dissatisfaction after purchase;
Disruption, outage, or modification of the feature post-purchase;
Termination or suspension of a Business Account for cause.
Chargebacks initiated without basis may result in immediate suspension of the associated account and legal action for breach of these Terms.
11.3 Revenue-Sharing Agreements
Any revenue-sharing arrangements between the Company and its business partners, creators, sponsors, or vendors must be set forth in a separate, duly executed written agreement. These Terms do not, and shall not be construed to, create any implied entitlement to profit-sharing, equity participation, commission, or joint venture rights.
The Company shall not be liable for any misunderstanding arising from verbal arrangements, representations, or informal communications not memorialized in writing and signed by an authorized Company officer.
11.4 Payment Authorization and Taxes
By initiating any payment on the Platform, you:
Represent that you are authorized to use the selected payment method;
Agree to pay all fees and applicable taxes incurred under your account;
Acknowledge that you are solely responsible for all tax reporting and compliance related to any earnings or reimbursements received through the Platform.
All monetary values are in U.S. Dollars unless explicitly stated otherwise.
11.5 Fraud and Abuse Prevention
The Company reserves the right to suspend or terminate any account that is suspected of engaging in fraudulent payment activity, abuse of promotional tools, or attempts to manipulate the Platform’s monetization systems. Violators may be subject to legal action and financial restitution.
12. Data Privacy
12.1 Privacy Policy Incorporation
Your use of the Platform is governed by the Company’s official Privacy Policy, which is incorporated into these Terms by reference. By accessing or using the Platform, you expressly acknowledge and agree to the collection, use, processing, disclosure, and storage of your personal information as detailed in the Privacy Policy.
12.2 Data Collected
We may collect and process various categories of data, including but not limited to:
Account Data (name, email address, phone number, user preferences);
Business Data (business name, address, sponsorship tiers, event submissions);
Device and Usage Data (IP address, device ID, OS version, crash logs, session activity);
Location Data (GPS, IP-based geolocation, time-based check-ins);
Interaction Data (clicks, saved content, viewed pages, shares);
Third-Party Data (business onboarding data provided via external sources or verified partnerships).
12.3 Legal Basis for Processing (U.S. & Global Standards)
Our collection and use of data may be based on:
Your explicit consent;
The necessity to fulfill our contractual obligations;
Our legitimate interest in maintaining and improving the Platform;
Compliance with legal obligations under applicable laws, including but not limited to:
California Consumer Privacy Act (CCPA) and California Privacy Rights Act (CPRA);
General Data Protection Regulation (GDPR) for EU residents, where applicable.
12.4 Data Use Purposes
We use your data to:
Operate and improve the Platform;
Personalize content and user experience;
Facilitate business account services and sponsorship tracking;
Conduct analytics, performance metrics, and A/B testing;
Comply with legal requests, investigations, and regulatory reporting.
12.5 Data Sharing and Disclosure
We do not sell your personal data. We may share it with:
Vetted service providers who assist with hosting, analytics, marketing, or customer support;
Law enforcement or regulators when required by law or to protect legal rights;
Business partners, only with your explicit consent, as part of onboarding, event sponsorship, or verification flows.
Pinvia LLC does not sell your personal information to third parties, as defined under the California Consumer Privacy Act (CCPA) and the California Privacy Rights Act (CPRA). You may exercise your right to opt out of data sharing by contacting us at info.pinvia@gmail.com.
12.6 Data Security
We implement industry-standard security protocols including data encryption, secure servers, and limited access controls. However, no method of transmission over the Internet or electronic storage is 100% secure. Accordingly, we cannot guarantee absolute security and you use the Platform at your own risk.
12.7 User Rights and Data Controls
Where applicable, you may request to:
Access, correct, or delete your personal data;
Opt out of certain tracking tools;
Withdraw consent to data processing;
Export your data in a machine-readable format.
Requests may be submitted via our Privacy Policy contact form and will be responded to within the timeframes required by law.
12.8 Data Retention
We retain your data for as long as reasonably necessary to fulfill the purposes outlined in these Terms and the Privacy Policy, unless a longer retention period is required or permitted by law.
13. Third-Party Content and Links
13.1 Third-Party Integrations and Content
The Platform may contain references, links, promotions, content, or functionality that is hosted, provided, or operated by third parties, including but not limited to:
External websites or mobile applications;
Embedded social media posts or content feeds;
Sponsored materials, maps, or payment processors;
Business-owned event content or merchant profiles.
13.2 No Endorsement or Affiliation
Inclusion of any third-party link, service, or content does not imply endorsement, approval, or sponsorship by the Company. We do not control, operate, or monitor third-party platforms and assume no responsibility for the accuracy, legality, functionality, or content they may provide.
13.3 Third-Party Terms and Privacy
Your interactions with third-party services are governed by their own respective terms of service and privacy policies. We strongly encourage you to review those documents prior to using such services. You acknowledge that we are not liable for:
The collection or misuse of your data by third parties;
Security practices or availability of third-party platforms;
Disputes arising from transactions or interactions between you and a third-party provider.
13.4 User Discretion Advised
You assume all risks associated with accessing or relying on third-party content or platforms. The Company is not liable for any loss or damage resulting from:
Malware, phishing attempts, or misleading representations by third-party entities;
Broken, outdated, or misdirected links;
Performance issues related to external services integrated into the Platform.
13.5 Platform-Level Safeguards
While we aim to maintain a safe user environment, the Platform does not filter or validate all third-party content in real time. If you believe third-party content or links violate these Terms or pose a risk to the community, please report it to us immediately for review.
14. Platform Availability and Updates
14.1 Right to Modify or Suspend Services
The Company reserves the right, at its sole discretion and without prior notice, to add, remove, update, suspend, disable, or permanently discontinue any aspect, feature, module, or content within the Platform, including but not limited to:
Frontend user features and interface components
Backend infrastructure, third-party APIs, or integrations
Event listings, discovery tools, or content display algorithms
Payment processing, business portals, or revenue systems
Such changes may occur temporarily or permanently for reasons including maintenance, upgrades, security improvements, or strategic shifts in business operations.
14.2 Service Interruptions and Downtime
You acknowledge that the Platform may be subject to occasional unavailability, outages, or interruptions due to factors including but not limited to:
Scheduled maintenance or infrastructure updates
Unexpected bugs, server load, or cybersecurity threats
Network latency or failures by third-party service providers
Force majeure events (including natural disasters, government action, or power failures)
We make no guarantees regarding uninterrupted access, real-time performance, or absolute uptime. You agree that the Company shall not be held liable for any loss, damage, revenue impact, or data corruption resulting from such interruptions.
14.3 Software and Device Compatibility
You are solely responsible for ensuring that your device, operating system, and software environment are compatible with the most current version of the Platform. The Company is not responsible for degraded performance or limited access due to:
Use of outdated mobile operating systems
Unsupported browsers or hardware
Device-specific configuration issues or lack of updates
14.4 Updates, Patches, and Feature Releases
The Company may release updates to the Platform from time to time, which may include:
Security patches
New features or visual redesigns
Backend enhancements or bug fixes
Modified user workflows or permissions
By continuing to use the Platform after any such update, you agree to accept the modified version as-is. You may be required to download and install updates to maintain access. The Company shall not be liable for any issues arising from failure to update.
14.5 Sunsetting of Features
We reserve the right to deprecate or sunset any functionality, service tier, or offering at any time. Users or businesses who rely on deprecated features will be given commercially reasonable notice (when feasible), but the Company is under no obligation to continue supporting legacy components.
15. Disclaimers
15.1 Platform Provided “As Is” and “As Available”

15.2 No Guarantees or Representations
The Company makes no warranties, representations, or guarantees that:
The Platform will operate uninterrupted, securely, or error-free
Any defects or bugs will be corrected
The Platform will be compatible with your device, browser, or system
Content or data (including business listings, events, locations, reviews, or metrics) is accurate, current, or reliable
Services will be timely, complete, or accessible in all geographic locations
15.3 Disclaimed Warranties
To the maximum extent allowed by law, the Company expressly disclaims all warranties, whether express or implied, including but not limited to:
Implied warranties of merchantability
Fitness for a particular purpose
Non-infringement of proprietary or intellectual property rights
Accuracy, completeness, or reliability of information, results, or data
Suitability of third-party integrations, services, or APIs
Availability or quality of content generated by users, partners, or business accounts
15.4 Assumption of Risk
You expressly acknowledge and agree that:
Your use of the Platform is at your sole risk
You are solely responsible for any damage to your device, operating system, or data loss resulting from the use of the Platform
You assume full responsibility for verifying any content, business offering, or promotion you engage with through the Platform
15.5 No Fiduciary or Advisory Duty
Use of the Platform does not create any fiduciary relationship, partnership, or advisory obligation between you and the Company. No information or suggestion provided by the Company or its representatives, whether oral or written, shall create any warranty not expressly stated in these Terms.
The Platform may include AI-generated outputs, recommendations, or summaries. Such content is for informational purposes only and may not be accurate, complete, or up-to-date. You agree not to rely on such content for critical decisions, and the Company disclaims all liability arising from reliance on AI-generated materials.
16. Limitation of Liability
16.1 Maximum Legal Limitation
To the fullest extent permitted by applicable law, in no event shall Pinvia LLC, its affiliates, directors, officers, employees, licensors, contractors, service providers, agents, or successors be liable to you or any third party for any indirect, incidental, punitive, special, consequential, or exemplary damages, including but not limited to:
Loss of revenue, anticipated profits, or goodwill
Loss of business, data, or digital content
Business interruption, technical malfunction, or system downtime
Device damage or software corruption
Reputational harm
Personal injury or property damage resulting from use of the Platform
Claims arising from third-party content, links, or integrations
Unauthorized access to or alteration of your transmissions or data
16.2 Cumulative Cap on Liability
In no event shall the total aggregate liability of Pinvia LLC, whether in contract, tort, negligence, strict liability, or otherwise, exceed:
One Hundred U.S. Dollars ($100), or
The total amount paid by you to the Company in the twelve (12) months preceding the claim,
whichever is greater.
16.3 Jurisdictional Exceptions
Some jurisdictions do not allow the exclusion or limitation of certain damages. In such cases, the Company’s liability shall be limited to the maximum extent permitted by law in that jurisdiction. Nothing in these Terms shall exclude or limit liability for gross negligence, willful misconduct, or any liability that cannot be excluded under applicable law.
16.4 Basis of the Bargain
You acknowledge and agree that the limitations set forth in this Section are fundamental elements of the basis of the bargain between you and Pinvia LLC. The Platform would not be provided without such limitations.
17. Indemnification
You agree to indemnify, defend, and hold harmless Pinvia LLC, its parent entities, subsidiaries, affiliates, officers, directors, shareholders, employees, licensors, agents, contractors, successors, and assigns (collectively, the “Indemnified Parties”) from and against any and all claims, actions, demands, proceedings, liabilities, losses, damages, judgments, settlements, costs, and expenses (including, without limitation, reasonable attorneys’ fees and court costs) arising out of or relating to:
Your use of or access to the Platform, including any acts or omissions related thereto
Your violation of these Terms or any applicable law, regulation, or rule
Your breach of any representation, warranty, or covenant under these Terms
Any content, material, data, or submission you upload, post, transmit, or otherwise make available through the Platform (including business events, images, or promotions)
Any claim that your use of the Platform, or content you provided, caused harm to a third party or violated their rights, including but not limited to intellectual property, publicity, confidentiality, or privacy rights
Any business activity, marketing claim, or in-person interaction arising from your participation as a business account, sponsor, or event organizer on the Platform
Any negligence, fraud, or willful misconduct by you or anyone acting on your behalf
You agree that the Company shall have the right, but not the obligation, to assume exclusive defense and control of any matter subject to indemnification by you, and you shall fully cooperate with any such defense. You may not settle any claim without the Company’s prior written consent unless the settlement fully and unconditionally releases the Company of all liability.
18. Termination
We reserve the right to suspend, deactivate, restrict, or terminate your access to the Platform, your account, or any features thereof, at our sole discretion and without liability, at any time and for any reason, including but not limited to:
Your actual or suspected breach of these Terms or any applicable law or regulation
Your conduct that may harm the Company, its users, or its reputation
Requests by law enforcement, regulatory authorities, or court order
Unexpected technical, security, or operational issues
Extended periods of inactivity on your account
Fraud, abuse, or attempted circumvention of our systems
Termination may occur with or without prior notice and shall be effective immediately. Upon termination:
All licenses and rights granted to you under these Terms will immediately cease
You must immediately cease all use of the Platform and any Company materials
We may, but are not obligated to, delete your account and any data or content associated with it
We may retain and use your information as necessary to comply with legal obligations, resolve disputes, enforce our agreements, or protect our interests
You remain responsible for any obligations or liabilities incurred prior to termination
The Company reserves the right to pursue legal action or injunctive relief for violations of these Terms, including actions arising post-termination. You may not create a new account without express written permission from the Company if your prior access was terminated.
Termination of your access does not limit or waive any rights or remedies available to Pinvia LLC under law or equity.
Business Accounts found to engage in fraudulent promotions, false event listings, or manipulation of Platform metrics may be terminated without refund or reinstatement. This includes accounts promoting unpermitted commercial activity, violating alcohol or age restrictions, or bypassing community standards.
19. Dispute Resolution
19.1 Informal Resolution First
In the event of any dispute, claim, or controversy arising out of or relating to these Terms, your use of the Platform, or your relationship with Pinvia LLC (collectively, “Disputes”), both parties agree to first attempt to resolve the matter in good faith through informal negotiations. Such negotiations shall begin upon written notice from one party to the other and must continue for a minimum period of thirty (30) calendar days before proceeding to formal resolution mechanisms.
19.2 Binding Arbitration
If informal resolution fails, the Dispute shall be finally and exclusively resolved by binding arbitration administered by the American Arbitration Association (“AAA”) in accordance with its applicable commercial or consumer arbitration rules, as determined by the nature of the dispute. The arbitration:
Shall be conducted in San Francisco County, California
Shall be overseen by a single arbitrator mutually agreed upon by the parties or appointed by the AAA
Shall be conducted in English
Shall follow the Federal Arbitration Act (FAA) and applicable state law
May include submission of evidence, witness testimony, and interim relief at the arbitrator’s discretion
The arbitrator shall have the exclusive authority to resolve all disputes regarding the interpretation, applicability, enforceability, or formation of these Terms, including any claim that all or any part of these Terms is void or voidable.
19.3 No Class Actions or Jury Trials
YOU AND PINVIA LLC EXPRESSLY WAIVE ANY RIGHT TO A JURY TRIAL AND AGREE THAT DISPUTES SHALL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS. NEITHER PARTY MAY PARTICIPATE IN A CLASS ACTION OR CLASS-WIDE ARBITRATION, AND YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS OR REPRESENTATIVE ACTION AGAINST THE COMPANY.
This waiver applies to all Disputes regardless of the nature of the claim, including statutory, tort, contract, or equitable claims, and survives termination of these Terms or your use of the Platform.
19.4 Limitation Period
Any Dispute must be initiated within one (1) year after the relevant cause of action accrues, unless a longer period is mandated by applicable law. Otherwise, the claim is permanently barred.
19.5 Equitable Relief Exception
Notwithstanding the above, Pinvia LLC reserves the right to seek injunctive or equitable relief in a court of competent jurisdiction, including without limitation to protect its confidential information, intellectual property, or prevent unauthorized access to the Platform.
19.6 Survival
This Dispute Resolution section shall survive termination of your relationship with the Company and continue to apply to any subsequent interactions, claims, or unresolved disputes.
20. Governing Law
These Terms, and any dispute, claim, or controversy arising from or related to your access to or use of the Platform, shall be governed in all respects — including as to validity, interpretation, enforcement, and performance — by the laws of the State of California, United States, without regard to any conflict of law provisions or principles that would result in the application of the laws of another jurisdiction.
You expressly agree that:
The laws of California shall apply regardless of your location or the location from which you accessed the Platform
The United Nations Convention on Contracts for the International Sale of Goods shall not apply
No foreign or extraterritorial law shall apply unless expressly authorized in writing by Pinvia LLC
To the extent that any action is permitted to proceed in a court of law under these Terms (such as a claim for equitable relief), you agree to submit to the exclusive jurisdiction and venue of the state and federal courts located in San Francisco County, California.
21. Severability
If any provision of these Terms, or the application thereof to any person or circumstance, is held to be invalid, illegal, or unenforceable by a court or tribunal of competent jurisdiction, such provision shall be deemed severed from these Terms to the minimum extent necessary, and shall not affect the validity or enforceability of the remaining provisions.
Where legally permissible, the invalid or unenforceable provision shall be deemed replaced by a valid, enforceable provision that most closely reflects the intent and economic effect of the original provision. In the event such reformation is not possible, the remainder of the Terms shall continue in full force and effect and shall be construed so as to best effectuate the original intent of the parties.
22. Entire Agreement
These Terms of Service, together with our Privacy Policy, any supplemental policies referenced herein, and any applicable agreements entered into via the Platform (collectively, the “Agreement”), constitute the full and exclusive understanding between you and Pinvia LLC with respect to the subject matter herein and supersede all prior or contemporaneous oral or written communications, negotiations, representations, understandings, or agreements, whether express or implied.
No verbal statement, email, or informal communication shall modify or supplement this Agreement unless formally incorporated through a written amendment signed by an authorized officer of the Company. You acknowledge that you have not relied on any statement, promise, or representation not expressly set forth in this Agreement.
